By purchasing Traffic Tactics Dex services for resale, you agree to adhere to this Affiliate Policy.
To ensure that Traffic Tactics Dex's authorized affiliates ("Affiliates") are able to maintain healthy margins and ensure that Traffic Tactics Dex's end users receive a quality sales and customer service experience, Traffic Tactics Dex has announced this Affiliate Policy (the "Affiliate Policy"). Traffic Tactics Dex believes that its end user customers are best served by having Affiliates who market Traffic Tactics Dex Services as premium branded products and who provide an outstanding level of service and support to their end user customers.
Traffic Tactics Dex adopts this Affiliate and Quality Policy (this "Policy") and requires each person, company or entity (as applicable, an "Affiliate") that purchases its services (the "Services") for resale or other distribution to agree to comply with this Policy. Accordingly, the terms of this Policy are incorporated into and in addition to any contract entered into between Traffic Tactics Dex and Affiliate in connection with Affiliate's purchase or sale of the Services.
SALES TO END USERS ONLY
Unless otherwise agreed with Traffic Tactics Dex in writing, Affiliate may only purchase Services for resale to consumers and end users and Affiliate may not resell Services to vendors or for distribution in any manner.
INTERNET SALES PROHIBITED.
Affiliate shall be prohibited from selling our branded Products over the Internet unless it applies, is approved by Traffic Tactics Dex and executes an Authorized Internet Reseller Agreement or other similar agreement governing the manner in which it sells online.
SALES RESTRICTED TO THE TERRITORY
If the Affiliate purchases Services under a contract that obligates the Affiliate to resell the Services in a geographic territory, the Affiliate must comply with that obligation.
INTELLECTUAL PROPERTY
Unauthorized use of the intellectual property of our Services is prohibited. Affiliates who comply with this Policy have a limited, non-exclusive, non-sublicensable, revocable license to use Traffic Tactics Dex's trademarks and copyrights in connection with the sale of the Products. Affiliate shall not alter, modify or change any trademark or copyright, nor shall Affiliate use any trademark or copyright other than for the promotion and sale of the Services, nor shall Affiliate use any trademark or copyright in any manner that adversely affects such trademark or copyright. Failure to comply with the Policy will result in automatic revocation of the license granted herein and forfeiture of all rights granted herein. Traffic Tactics Dex reserves the right to revoke this license at any time for any or no reason.
INSPECTION SERVICE
Traffic Tactics Dex will promptly inspect all Services upon completion and will promptly return on the terms of sale any Services that appear incomplete or unsatisfactory upon inspection.
SALES PRACTICES
Affiliate shall conduct its business in a reasonable and ethical manner at all times and shall not engage in any deceptive, misleading or unethical practices or advertising at any time or make any warranties or representations with respect to the Services, except as expressly authorized by Traffic Tactics Dex. Affiliate shall comply with applicable laws, rules, regulations and policies relating to the advertising, sale and marketing of the Services.
LEVEL OF CUSTOMER SERVICE
Affiliate will provide the highest levels of customer service. Affiliate and Reseller's sales personnel shall be familiar with the special features of all Traffic Tactics Dex Services marketed for sale and shall obtain sufficient product knowledge to advise customers on the selection and safe use of the Services, as well as any applicable warranties, guarantees or returns.
CUSTOMER SERVICE CHANNELS
Reseller will maintain customer service email and telephone response functions as required by the original Agreement to handle customer complaints, returns and other customer service functions. Upon Traffic Tactics Dex's request, Affiliate will provide any reports or other information requested by Traffic Tactics Dex, with respect to a particular Service to determine the date of Affiliate's purchase of the Service, the location where the Service was purchased and the dates on which the Service was sold. or made by Affiliate to a purchaser.
CONSUMER SAFETY AND CANCELLATION OF SERVICE
Affiliate will cooperate with Traffic Tactics Dex in connection with any investigation of consumer safety complaints or any evaluation of termination of Service. To ensure the safety and well-being of end users of the Services, Affiliate agrees to cooperate with Traffic Tactics Dex with respect to any Service cancellation or other consumer safety information dissemination efforts.
SERVICE FAILURE
If a significant amount of Services purchased by Affiliate fails, Affiliate will promptly report such event to Traffic Tactics Dex.
REPORT UNAUTHORIZED AFFILIATES
If Affiliate has information, or reasonably suspects, that any person is purchasing and reselling or distributing Services in a manner not authorized by Traffic Tactics Dex, Affiliate must immediately notify Traffic Tactics Dex.
OTHER INFORMATION, DOCUMENTS AND REPORTS
Affiliate shall provide Traffic Tactics Dex with all supplemental information, documents and reports that Traffic Tactics Dex may request to validate Affiliate's compliance with this Policy and to support Traffic Tactics Dex's warranty and customer service support obligations and initiatives.
UNILATERAL POLICY CHANGES
Traffic Tactics Dex sales personnel have no authority to modify or grant exceptions to this One-Sided Policy. All questions regarding the interpretation of this Policy should be directed to the Affiliate Policy Committee at help@traffictacticsdex.com .
TERMINATION AND LIABILITY DUE TO POLICY VIOLATION
If Traffic Tactics Dex determines that the Affiliate is in violation of the Affiliate Policy, it may take appropriate legal action, including, but not limited to, refusing to accept orders from the Affiliate or instructing its distributors to refuse to accept orders from the Affiliate.
MODIFICATION AND POLICY CHANGES
Traffic Tactics Dex reserves the right to update, amend or modify this Affiliate Policy at any time. Unless otherwise stated, such amendments shall be effective immediately and Affiliate's continued use, advertising, offering for sale or sale of the Products shall be deemed to be Affiliate's acceptance of the amendments.
